The consumer, in the capacity of the buyer, enters into a purchase agreement with UNIQUE PRODUCTION LAB J.D.O.O., Pernatska ulica 4, 10000 Zagreb (hereinafter: UNIQUE PRODUCTION LAB J.D.O.O.) in the capacity of the seller.
Legal entities as customers are subject to the application of the Civil Obligations Act and the Electronic Commerce Act, and the Consumer Protection Law does not apply to them. These Terms and Conditions of Purchase apply to legal entities in the part relating to the main characteristics of the product, the procedure for concluding the contract, the price of the product, the method of payment and shipment of the product, the description of the method of delivery of the product, the delivery costs and general information. The seller may, according to his choice, provide the legal person with the rights of the buyer who is a consumer in each specific case.
A user is a person who uses the website www.upali.hr, the same as any customer and visitor to the website www.upali.hr.
The conclusion of a purchase contract through the www.upali.hr the website is regulated in accordance with legal provisions, taking into account in particular the principles and provisions of directives and regulations of the European Union. Concluding a contract through the website www.upali.hr constitutes the conclusion of a distance contract.
These terms and conditions of purchase also constitute a pre-contractual notice when the purchase contract is concluded by the consumer, i.e. any natural person who enters into a legal transaction or operates on the market outside of their trade, business, craft or professional activity, and if the contract is concluded between the trader and the consumer within an organized system of sale or provision of services without the simultaneous physical presence of the trader and the consumer in one place, whereby until the moment of concluding the contract and for the conclusion of the A contract exclusively uses one or more means of remote communication.
Means of distance communication are all means that can be used to conclude distance contracts without the simultaneous physical presence of the trader and the consumer, such as the internet and e-mail.
The contract is concluded when the seller receives an electronic message containing a declaration from the buyer that he accepts the offer. The seller may terminate the purchase contract if the buyer fails to pay the purchase price, and is not obliged to deliver the product by the time of receipt of the purchase price, except in the case when the buyer has chosen the method of payment on delivery.

Prices, payment terms and special offers are valid only at the time of order and/or payment.
PROCEDURE FOR CONCLUDING A CONTRACT
Purchases are made on the website of UNIQUE PRODUCTION LAB J.D.O.O., www.upali.hr by filling out the form provided for this purpose. When filling out the form, the customer is required to enter all the information required of him. The purchase can be made with the buyer’s confirmation that he has previously read and understood the Terms of Purchase and that he has agreed to them and that he is aware that this is an order with an obligation to pay. Shopping is possible 24 hours a day, 7 days a week. UNIQUE PRODUCTION LAB J.D.O.O. is not responsible for the costs of using computer equipment and telecommunication services necessary to access the service. The buyer will be notified by e-mail about the confirmation of the order (receipt of an electronic message containing the buyer’s statement that he accepts the offer) and the sending of the package.
In the event that UNIQUE PRODUCTION LAB J.D.O.O. is not able to deliver any of the ordered products for any reason, an employee of UNIQUE PRODUCTION LAB J.D.O.O. will contact the customer, by phone or e-mail, for the purpose of agreeing on the delivery of a replacement product or possible cancellation of the ordered product, i.e. termination of the contract.
The purchase of a product in the name and on behalf of a minor or a person deprived of legal capacity (in whole or in part) can only be requested by their legal representatives.
Shopping is done by ordering available products that the customer chooses based on the photo and basic description. Photos are illustrative in nature and may not always correspond to the available products in all details. Shopping is done in a few simple steps in the comfort of the customer’s home, from anywhere in the world.
PRODUCT PRICE, PAYMENT METHOD AND SHIPPING OF THE PRODUCT
The Buyer undertakes to pay for the ordered products using one of the following payment methods:
Customers from the territory of the Republic of Croatia have, in addition to the possibility of paying with credit and debit cards, additional payment options:
The product will be delivered to the buyer in the territory of the Republic of Croatia within 7 working days (Saturday, Sunday and non-working days excluded) from the conclusion of the purchase contract if the contract is concluded by 10 am (except for the islands and the Dubrovnik area where the delivery schedule may be different), and to the buyer at the address within the European Union within 14 working days (Saturday, Sundays and non-working days excluded). If the company UNIQUE PRODUCTION LAB J.D.O.O. does not have the product in stock at the time of concluding the purchase agreement, the aforementioned delivery deadlines do not apply.
The agreed purchase price includes all taxes and duties and is expressed in euros (€). Please note that the means of payment in the Republic of Croatia is the euro (€), and the buyer pays the cost of currency conversion.
DESCRIPTION OF THE METHOD OF DELIVERY OF THE PRODUCT
The order is delivered by UNIQUE PRODUCTION LAB J.D.O.O. within the deadlines specified under “Product price, payment method and dispatch of the product”. Delivery of products is carried out through authorized postal service providers.
UNIQUE PRODUCTION LAB J.D.O.O. checks the correctness of the ordered product before each delivery of the product.
DELIVERY
If the order amount is € 500.00 or less, the cost of delivery is indicated next to the price of the product and is paid in full by the buyer, and if the amount of the order is more than € 500.00 the cost of delivery is fully borne by the seller.
UNIQUE PRODUCTION LAB J.D.O.O. delivers within the Republic of Croatia and the European Union.
Customers are obliged to pick up and inspect the shipment in front of the courier, all in order to avoid subsequent complaints due to the possibility of damage to the shipment during delivery.
If UNIQUE PRODUCTION LAB J.D.O.O. is not able to deliver the ordered product, it will inform the customer about it. The customer can cancel the order or wait until the product is available again. If UNIQUE PRODUCTION LAB J.D.O.O. is not able to deliver the product within the agreed period, it informs the buyer, who is obliged to give him a subsequent reasonable period of time for the fulfillment of the purchase contract.
The shipping price is highlighted next to the price of the product.

Users agree not to use the website in a way that harms the authors or third parties, and accepts all risks of using the website and services. If the user does not agree with the above, he is obliged to stop using the website and the services provided through it.

UNIQUE PRODUCTION LAB J.D.O.O. reserves the right to deny access to the website www.upali.hr anyone, based on its own assessments. The user undertakes to use the website in a way that does not jeopardize the resources and services in their entirety. Inappropriate use of the www.upali.hr website is prohibited and results in the termination of access to it.
UNIQUE PRODUCTION LAB J.D.O.O. reserves the right to change or supplement the Terms and Conditions of Purchase at any time. The changes will take effect on the day of publication on the www.upali.hr website. Continued access to the Website or use of any part of its content will be considered as acceptance of the amended or amended Terms of Purchase. UNIQUE PRODUCTION LAB J.D.O.O. advises periodically checking the Terms and Conditions of Purchase in order to get acquainted with any changes.
UNIQUE PRODUCTION LAB J.D.O.O. reserves the right to change, supplement or terminate any part of its business at any time and without prior notice, including the website, or any part thereof, services, subpages or services provided through them. The right in question includes, but is not limited to, changing the time of availability of the content, the availability of new data, the method of transmission, as well as the right to access or use the website.
It is the duty and obligation of the user to use the website in accordance with positive regulations and general moral and ethical principles. UNIQUE PRODUCTION LAB J.D.O.O. has the right to control the content of the website at any time in order to ensure compliance with the Terms of Use and positive regulations. Changes to the Terms of Use are effective immediately upon publication on the www.upali.hr website.
MATERIAL DEFECTS
UNIQUE PRODUCTION LAB J.D.O.O. (hereinafter: the seller) is liable for material defects of the product until the moment of transfer of risk to the buyer (the moment of handing over the item to the buyer or to a third party designated by the buyer who is not the carrier), regardless of whether the material defect was known to him. Also, it is responsible for those material defects that appear after the transfer of risk to the buyer if they are a consequence of a cause that existed before. A defect that occurred within six months of the transfer of risk to the buyer is presumed to have existed at the time of the transfer of risk, unless the seller proves otherwise or the contrary arises from the nature of the thing or the nature of the defect. The disadvantage exists:
1) if the item does not correspond to the description, type, quantity and quality, i.e. it does not have functionality, compatibility, interoperability and other features as determined by the sales contract,
2) if the item is not suitable for any special purpose for which the buyer needs it and which the buyer has informed the seller about at the latest at the time of concluding the contract and in relation to which the seller has given consent,
3) if the item is not delivered with all accessories and instructions, including installation instructions, as determined in the sales contract, or
4) if the item is not delivered with updates as determined by the purchase contract.
In addition to the above disadvantages, there is also a disadvantage:
1) if the item is not suitable for use for the purposes for which the item of the same type would normally be used, taking into account all regulations of the European Union and the regulations of the Republic of Croatia, technical standards or, in the absence of such technical standards, applicable codes of conduct in a particular area, if they exist,
2) if the item does not correspond to the quality and description of the sample or model that the seller made available to the buyer before concluding the contract,
3) if the item is not delivered with additional equipment, including packaging, installation instructions or other instructions, the receipt of which the customer can reasonably expect,
4) if the item does not correspond to the quantity or does not have the properties and other characteristics, including those relating to durability, functionality, compatibility and safety, which are normal for an item of the same type and which the buyer can reasonably expect in view of the nature of the item and taking into account any public statements made by the seller or other persons at previous stages of the chain of transactions, including the manufacturer, or given on their behalf, in particular in advertising or labelling. The seller is not bound by the statements if he proves that he did not know and could not have known about that statement, or that by the time the contract was concluded, the public statement had been corrected in the same or comparable way as when it was made, or that this public statement could not have influenced the decision to buy.
In the case of consumer contracts, the defects referred to in points 1 to 4 shall not exist if, at the time of concluding the contract, the consumer was specifically informed that a certain feature of the item deviated from the criteria used to determine the defects specified in points 1 to 4 of this Article and if the consumer explicitly and separately accepted this when concluding the contract.
The consumer is obliged to notify the seller of the existence of visible defects within two months from the day on which he discovered the defect, and no later than two years from the transfer of risk to the consumer.
If, after the receipt of the item by the buyer, it turns out that the item has a defect that could not be detected by the usual inspection when taking over the item, the buyer is obliged, under the threat of loss of rights, to notify the seller of this defect within two months counting from the day on which the defect was discovered.
The seller is not responsible for defects that appear after two years have elapsed since the handover of the item. The rights of the buyer who has informed the seller in a timely manner about the existence of the defect are extinguished after the expiry of two years, counting from the date of sending the notification to the seller, unless the seller’s fraud prevented the buyer from exercising them.
If the existence of a material defect is established, the seller may have one of the following obligations, all in accordance with the provisions of the Civil Obligations Act:
Rights based on material defect to things are regulated by the Civil Obligations Act.
When the buyer is a legal entity, the rules on material defects prescribed by the Civil Obligations Act apply to him, especially in the part in which the material defect for legal entities is regulated differently than stated here in the Terms of Use, then the Civil Obligations Act applies.
RIGHT TO UNILATERAL TERMINATION OF THE CONTRACT
The consumer can unilaterally terminate the contract within 14 days without giving reasons.
The period of 14 days begins to run from the day on which the product is handed over to the consumer or a third party designated by the consumer, who is not the carrier.
If the consumer orders several pieces of products that are to be delivered separately with one order, i.e. in the case of goods that are delivered in several pieces or several shipments, the period of 14 days begins to run from the day when the consumer or a third party designated by the consumer, who is not the carrier, is handed over the last piece or the last shipment of the product.
If the regular delivery of goods over a certain period of time is agreed, the 14-day period begins on the day when the first piece or the first shipment of the product is handed over to the consumer or a third party designated by the consumer, who is not the carrier.
If the consumer is not informed of the right to terminate the contract, the consumer’s right to unilateral termination of the contract expires after the expiry of 12 months from the expiry of the 14-day period.
If the seller has provided the consumer with a notice of the right to terminate the contract within 12 months, the right to unilateral termination of the contract ceases after the expiry of a period of 14 days from the date of receipt of this notification by the consumer.
In order for the consumer to exercise the right to unilateral termination of the contract, the seller must notify the seller of his decision on unilateral termination of the contract before the expiry of the 14-day period by an unambiguous statement sent by post to the address UNIQUE PRODUCTION LAB J.D.O.O., Pernatska ulica 4, 10000 Zagreb or by e-mail to the info@upali.hr, in which he will state his name and surname, address, telephone number or e-mail address, and the consumer may, at his or her choice, also use the example of a form for unilateral termination of the contract attached below.
The seller will deliver the confirmation of receipt of the statement on unilateral termination of the contract to the consumer without delay, by e-mail. In the event of termination of the contract, each party is obliged to return to the other party what it received under the contract. Except when the seller has offered to take over the goods that the consumer is returning himself, the seller must refund what has been paid only after the goods have been returned to him, i.e. after the consumer has provided him with proof that he has sent the goods back to the seller, if the seller would have been informed of this before receiving the goods. The seller is not obliged to reimburse additional costs resulting from the consumer’s explicit choice of a mode of transport that is different from the cheapest type of standard transport offered by the seller. The seller must refund the payment using the same means of payment used by the consumer when making the payment, unless the consumer expressly agrees to another means of payment, and provided that the consumer is not obliged to pay any additional costs for such a refund.
Unless the seller has offered to take over the goods that the consumer is returning himself, the consumer must return the goods without delay and no later than 14 days from the date of notifying the seller of his decision to terminate the contract.
The consumer shall be deemed to have fulfilled his obligation to return the goods on time if, before the expiry of the deadline, he sends the goods or hands them over to the seller, i.e. to a person authorised by the seller to receive the goods.
The direct costs of returning the product are borne by UNIQUE PRODUCTION LAB J.D.O.O. in the event that the return of the product due to the existence of a material defect is justified and that the buyer requests the termination of the contract. In all other cases, the consumer is obliged to bear the costs of returning the product himself. The consumer shall be liable for any depreciation of the goods resulting from the handling of the goods other than that which was necessary to determine the nature, characteristics and functionality of the product.
In order to determine the nature, characteristics and functionalities of the goods, the consumer may handle the goods and inspect the goods exclusively in the manner that is customary when buying goods at the seller’s premises. Goods that the buyer intends to return within 14 days must not be used in such a way as to diminish the value of the same.

The right to terminate the purchase contract is not allowed in the following cases when the subject of the contract is sealed goods that are not suitable for return for health or hygiene reasons, if they were unsealed after delivery.
When the buyer is a legal entity, the section of these Terms of Purchase entitled “Right to unilateral termination of the contract” does not apply to him. In the case of legal entities, the Civil Obligations Act and the Electronic Commerce Act apply.
PRODUCT RETURNS
The buyer is obliged to return the product unused, undamaged and in the original, undamaged packaging and unchanged quantity. The goods that the buyer intends to return within 14 days must not be carried, used or taken any other actions that would reduce the value of the goods. During the period in which the Consumer exercises the right to return the goods, he must guard with due care, i.e. he must behave as a particularly careful and conscientious person.

NOTICE ON HOW TO SUBMIT A WRITTEN CONSUMER COMPLAINT
All objections in accordance with Article 10 of the Consumer Protection Law. The consumer can send it by mail to the address UNIQUE PRODUCTION LAB J.D.O.O. by e-mail to the info@upali.hr or in person at the seller’s business premises at the address UNIQUE PRODUCTION LAB J.D.O.O.
In order for UNIQUE PRODUCTION LAB J.D.O.O. to respond to a written complaint that was not sent by e-mail, consumers are asked to provide accurate information about their name and surname and the address to which the response will be delivered. By law, UNIQUE PRODUCTION LAB J.D.O.O. must provide a response to a consumer complaint in writing no later than 15 days from the date of receipt of the complaint.
In the event of a dispute, UNIQUE PRODUCTION LAB J.D.O.O. and the consumer will resolve the dispute amicably, and if this is not possible, the court with substantive and territorial jurisdiction is competent with the application of Croatian law. Dispute resolution is possible before the Court of Honor of the Croatian Chamber of Commerce or other mediation centers.
Consumer disputes can be resolved through the ODR platform of the European Commission https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.show&lng=HR.
If the consumer accepts the Terms and Conditions of Purchase, the consumer also accepts all other terms and conditions listed on the www.upali.hr website and all other provisions listed on that website. If the consumer does not agree with any part of the pre-contractual notice or the Terms of Purchase, he is asked not to use the website www.upali.hr and not to conclude a purchase contract.
UNIQUE PRODUCTION LAB J.D.O.O. reserves the right to change these Terms and Conditions of Purchase and rules without prior notice. The terms of purchase are in accordance with the laws of the Republic of Croatia and the acquis communautaire of the European Union.
If the buyer is a legal entity, the rules on consumer protection prescribed by these Terms of Purchase and the Consumer Protection Law do not apply to him.
The rules on written consumer complaints do not apply to legal entities to which the Civil Obligations Act and the Electronic Commerce Act apply.
